Engagement terms (one page)
BuildWorkflow founding commercial partners work under performance-based terms. This page is the public standard before any engagement starts. It is not an employment offer and not legal advice. A signed version is required before work begins.
1. Brand and relationship
- Market brand: BuildWorkflow only.
- Legal operator: Noetfield Systems Inc. (parent). Not a second job brand.
- Relationship: independent contractor / performance-based commercial partner as applicable under BC and other applicable law.
- Not employment. Not a guaranteed base-salary seat. Not free labor without written commercial terms.
2. Compensation lock
- No guaranteed base salary initially.
- Any future retainer or base requires a signed amendment.
- Commercial upside is commission and/or revenue participation tied to attributable results.
3. Qualifying Revenue = collected cash (locked)
Decision lock: Qualifying Revenue is collected revenue only.
- Counts: cash actually received by BuildWorkflow / Noetfield Systems Inc. on an attributed customer invoice or contract (net of refunds, chargebacks, and sales tax remitted).
- Does not count: booked / signed contract value before payment, verbal commitments, pipeline stages, or unpaid invoices.
- Why collected: early-stage cash integrity. Partners are paid when the company is paid.
Commission rate or revenue-share percentage, attribution rule (named opportunity owner by default), and payment timing (target: within 15 business days after collected cash clears) are set in the signed engagement for that partner.
4. Attribution
- Default: Partner is paid on Qualifying Revenue from opportunities where they are the named commercial owner in BuildWorkflow Team Admin / CRM.
- Shared or transferred opportunities require written founder agreement before close.
- No commission on inbound that Partner did not source or own, unless written otherwise.
5. Scope of work
- Outcomes, not hour theater: qualified conversations → opportunities → collected revenue → relationships → repeatable motion.
- Weekly capacity band agreed in writing (example: 10-20 hours).
- Tools: BuildWorkflow admin surfaces as assigned. Market messaging stays BuildWorkflow-branded.
- No authority to bind pricing or contracts without written founder approval.
6. Start, review, end
- Work starts only after both parties sign the engagement terms.
- Initial review date agreed in writing (example: 60-90 days).
- Either party may end with written notice (default 14 days), subject to close-out rules on live attributed opportunities mid-close.
7. Confidentiality and work product
- Confidential information stays confidential.
- Work product created for BuildWorkflow under the engagement is owned by Noetfield Systems Inc. / BuildWorkflow as designated in the signed version.
- Partner handles their own taxes, insurance, and contractor eligibility where applicable.
8. Before you apply
If you cannot accept commission on collected revenue (not booked value) and no base salary initially, do not apply to the founding track.
